Terms of Service

1. Acceptance and scope

These Terms of Service govern your use of Loudkite's websites, mobile apps, artist network, messaging tools, marketplace, admin-protected features, and related services.

By accessing or using Loudkite, you agree to these terms and to the policies linked from the Policy Center. If you use Loudkite on behalf of a company or other entity, you represent that you have authority to bind that entity.

2. Eligibility and accounts

You must be at least 13 to use general community features unless local law requires a higher age. You must be legally capable of entering a binding agreement to place bids, buy licenses, or submit content for commercial sale or distribution.

• Provide accurate, current information and keep it updated.
• Protect your login credentials and notify Loudkite if you suspect unauthorized access.
• You are responsible for activity that occurs through your account unless caused by our breach.

3. Platform services and marketplace availability

Loudkite may offer public content browsing, artist profiles, posts, messaging, bidding, licensing, content uploads, reporting, representation workflows, and editorial or label services. Features may change, pause, or be discontinued at any time.

Listings, previews, and marketplace availability are not guaranteed. Loudkite may delay or remove content, reject a transaction, or require extra verification where trust, rights, security, or fulfillment concerns exist.

4. User content and submissions

You retain ownership of content you submit, subject to any separate transaction documents or license agreements. You grant Loudkite a non-exclusive license to host, store, reproduce, display, transmit, moderate, and distribute that content as needed to operate, market, secure, and improve the service.

You are solely responsible for ensuring that your uploads, messages, listings, credits, and rights statements are truthful and lawful.

5. Prohibited conduct

• Violating law, infringing intellectual property, or misusing another person's data, likeness, or payment credentials.
• Harassing, threatening, stalking, impersonating, or exploiting users on the platform or through platform-facilitated communications.
• Scraping, botting, reverse engineering, probing, circumventing authentication, or interfering with marketplace, messaging, or admin security controls.
• Manipulating bids, falsifying transaction history, abusing chargebacks, testing stolen payment methods, or otherwise engaging in fraud.
• Uploading malware, deceptive content, or materially inaccurate listing or profile information.

6. Payments, bids, and commercial terms

Marketplace rules, settlement, and refunds are governed by the Marketplace and Licensing Policy and any specific song page, checkout flow, invoice, or signed agreement tied to a transaction.

You authorize Loudkite and its payment providers to verify, authorize, capture, release, or reverse transactions in accordance with applicable marketplace logic, payment network rules, and fraud-prevention procedures.

7. Intellectual property and service materials

The Loudkite service, including branding, software, layouts, editorial materials, and other platform content, is protected by intellectual property laws. These terms do not grant you ownership of the service or a right to exploit platform materials beyond what Loudkite expressly permits.

8. Suspension and termination

Loudkite may warn, limit, suspend, or terminate access; remove content; reject listings; pause payments; or preserve records when we reasonably believe a user has violated these terms, created risk, or interfered with the platform.

You may stop using Loudkite at any time, but certain provisions survive, including rights, payment, audit, limitation, dispute, and record-retention terms where applicable.

9. Disclaimers and limitation of liability

Loudkite is provided on an as-is and as-available basis. To the fullest extent allowed by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee uninterrupted service, error-free operation, successful sales, audience growth, or the conduct of users, payment providers, rights holders, or counterparties.

To the fullest extent allowed by law, Loudkite will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the service.

10. Changes, additional terms, and contact

We may update these terms as Loudkite evolves. If we materially change them, we will post the revised version here with an updated date.

If a signed agreement, transaction document, or order-specific term conflicts with these general terms, the more specific document controls for that transaction.
